New Jersey Registered Agent Requirements: Rules & Statute (2026)
New Jersey's LLC act never actually says "registered agent." The statutory term is "agent for service of process," set out in N.J.S.A. 42:2C-14, though DORES itself uses the registered agent label across its forms and portals. Whatever you call the role, every LLC on the state registry must fill it continuously, from the day the Certificate of Formation is recorded until the company is dissolved or withdrawn.
Who Can Serve Under N.J.S.A. 42:2C-14
The statute requires the agent to be "a resident of this State or other person with authority to transact business in this State." DORES filing instructions restate it in plainer terms: the agent may be an individual or a corporation duly registered and in good standing with the State Treasurer. In short, a New Jersey resident or a company authorized to operate in New Jersey qualifies, while an out-of-state person with no New Jersey authority does not.
The Street Address Rule
The registered office must be an actual New Jersey street address. The state's instructions are specific about mailboxes: a PO Box may be used only if the street address is listed as well. The certificate of formation records both the street and mailing addresses of the initial registered office, and all of it becomes public record, searchable by anyone.

Two shortcuts exist: the change can ride along with your annual report for the same $25, or be submitted through the state's online charter amendment service instead of on paper.
