Formation: the $125 Certificate of Formation
The state charges $125 to record a Certificate of Formation. That number comes straight from the official DORES filing instructions, which set $125 per filing for all domestic entities except nonprofits. There is no numbered state form; you file through the DORES Business Formation portal or on the unnumbered public records filing pages of the paper packet, and the $125 is the same either way.
Every Year: the $75 Annual Report
The report is due by the last day of your anniversary month and can only be filed online at the DORES annual report portal, since New Jersey accepts no paper reports. Budget the $75 state fee plus the portal's processing surcharge, $3 by credit card or $1 by eCheck. The statute imposes no flat late fine on a tardy report, though two consecutive skipped years can end in revocation of the LLC's charter.
