New Jersey LLC Filing Fee: $100 for the Certificate of Formation

Filing a Certificate of Formation for a New Jersey LLC costs $100. New Jersey has no Secretary of State filing office for businesses; the filing goes to the Division of Revenue and Enterprise Services (DORES) in the Department of the Treasury. You can file online through the DORES Business Formation service with a card or eCheck, or on paper by mail, upload, fax or over the counter.

The fee fell from $125 to $100 on July 1, 2026. Some older DORES documents, including the registration package and the paper fee schedule, still print $125, so go by the current Getting Registered page. After formation you also file Form NJ-REG for tax registration, which has no fee. The recurring cost is the $75 annual report.

New Jersey LLC fees at a glance

Filing State fee When
Certificate of Formation (Online Business Formation, or Public Records Filing for New Business Entity) $100 (was $125 before July 1, 2026) Once, to form the LLC
Expedited review (optional) $25 per request for LLC filings; $50 same day Requested with the filing

Annual report (Online only) $75 Every year in the anniversary month of formation
Late fee None listed Two straight missed years put the LLC on the inactive list
Change of registered agent or office (Statement of change) $25 When the agent or office changes
Name reservation (optional) $50 Holds a name for 120 days
Reinstatement $75, plus every delinquent annual report If the LLC was moved to the inactive list or revoked

Missing the annual report two years in a row moves a domestic LLC to the inactive list under N.J.S.A. 42:2C-26(b). The statute says the LLC remains an LLC and its members' limited liability is not affected, but its name becomes available to anyone else. DORES also warns that a charter may be voided or revoked after two missed years, so file on time.

Get Started
  1. Pick a name with "limited liability company", "L.L.C." or "LLC" ("Ltd." and "Co." are allowed abbreviations) that is distinguishable on DORES's records. The business name search is free.
  2. Choose a registered agent and office. The agent is an individual who lives in New Jersey, or an entity authorized to do business in the state. The registered office needs a New Jersey street address; a PO box works only alongside the street address.
  3. File the certificate with DORES. Online, use the Business Formation service and have your agent's email address ready, since agent notices go there; pay by card or eCheck. On paper, mail to DORES, PO Box 308, Trenton, NJ 08646.
  4. File Form NJ-REG within 60 days of the certificate to register for state taxes and employer accounts. Both filings lead to your Business Registration Certificate.
  5. Watch your anniversary month. Annual reports are due online each year in the month your LLC was formed, and DORES sends a reminder to your registered agent 60 days ahead.
