New Jersey LLC Annual Report: Due Date, Fee & How to File (2026)

Every LLC on the New Jersey registry, domestic or foreign, files an annual report with the Division of Revenue and Enterprise Services (DORES). The obligation comes from N.J.S.A. 42:2C-26, the annual report section of the Revised Uniform LLC Act. It is a short filing, but the state gives it teeth: stop filing for two years running and your charter is on the line.

When the Report Is Due

Your deadline is personal to your company: the last day of your formation anniversary month, every year. An LLC formed on March 9 files by March 31 of each following year. The first report is not due until the calendar year after formation. Foreign LLCs count from the month they registered in New Jersey rather than the month they were formed at home.

The Annual Report Fee: $75

The state fee is $75 per report. The portal adds a processing surcharge of $3 for credit cards or $1 for eCheck payments. If you update your registered agent or registered office inside the report, the state collects an additional $25 change fee at the same time.

New Jersey does not accept paper annual reports; the DORES portal is the only channel available.

  1. Sign in to the DORES annual reports portal with your entity's identification details.
  2. Confirm or update the registered agent, registered office, principal address, and member or manager information.
  3. Complete the workers' compensation section, which the portal requires from every filer even when no coverage obligation exists.
  4. Pay the $75 fee plus the card or eCheck surcharge.
  5. Save the confirmation with your company records.

What Happens If You Miss It

New Jersey's statute sets no flat late fine for a tardy LLC report. The report simply goes delinquent once your anniversary month ends, and the real consequence arrives on a two-year clock: two consecutive years of non-filing leads to revocation, meaning administrative dissolution for a domestic LLC or loss of authority for a foreign one. Climbing back requires bringing every missed report current and paying the accumulated state charges, so filing on time is always the lighter lift.

Keep Your Registered Agent Current

The report is also where the state checks that a live registered agent sits at a New Jersey street address for your LLC. If your agent has resigned or relocated and nothing was updated, fix it inside the report for $25, or file Form L-122 separately for the same $25 fee.
